You can, and the state will administratively dissolve the company — but that leaves debts, contracts, and potential claims unresolved, and owners can still be pursued. Properly winding up gives creditors notice and shortens the window for claims. Administrative dissolution gives you neither.
Check the operating agreement or bylaws first — many set a vote threshold or a buyout mechanism. Without one, a negotiated buyout is usually the cheapest path. Florida courts can order judicial dissolution in cases of deadlock or misconduct, but that route is slower and more expensive.
